Founded in 1996 by President & CEO, Maury Marks, Quorum Information Technologies Inc. is a Canadian company with over 20 years of experience providing dealer management systems (DMS) to auto dealerships.

Quorum has developed its own state-of-the-art proprietary enterprise management software for dealerships called XSᴇʟʟᴇʀᴀᴛᴏʀTM, a comprehensive solution that automates, integrates, and streamlines every department in a dealership (sales, service, parts, accounting), and includes full integration with Original Equipment Manufacturer (OEM) data (GM, Nissan, Ford, etc.)

Quorum develops, markets, sells (through a SaaS pricing model), and implements and supports XSᴇʟʟᴇʀᴀᴛᴏʀ across a wide customer base of franchised automotive dealerships throughout North America, as well as other independent auto (pre-owned) and non-automotive dealerships.

Unique to Quroum’s solution is that XSᴇʟʟᴇʀᴀᴛᴏʀ is more than just a DMS. The tools and processes within allow dealers to not only enhance the sales process, but also provide dealerships with a platform for increasing the service and parts revenues that they generate from their own customers.

Quorum serves a diverse base of dealerships across North America. As of Q3 2018, 359 “rooftops” use the system and these customers range from small single-point dealerships to multi-store operations with hundreds of users.

The company trades on the TSX Venture Exchange under the symbol QIS and as of Q3 2018 employed 135 people people based in offices in Calgary, Alberta, St. John’s, Newfoundland, London, Ontario, and Detroit, Michigan (USA).

Investment Essentials

  • Dealership Rooftops

    The primary driver of growth for Quorum is the number and size of dealership rooftops that implement XSᴇʟʟᴇʀᴀᴛᴏʀ. Sales to new dealership rooftops drive the New Installations revenue stream. At the end of Q3 2018, Quorum had a dealership customer base of 359 rooftops with approximately 79% of those located in Canada and the remainder located in the USA.

  • Total Addressable Market (TAM)

    The main driver of dealership rooftop growth is the size of Quorum’s total addressable market, or TAM. The main driver of Canadian and USA TAM expansion is integration with the various automobile manufacturers (OEMs) as any dealer management system (DMS) must provide full integration with the auto dealership’s OEM (Nissan, Ford, GM, etc.). Since 2007, Quorum has integrated with a number of OEMs, expanding its Canadian TAM by 449% from 269 rooftops in 2007 to over 1476 at the end of Q3 2018. In 2017 Quorum also completed Ford USA integration development, and in February of 2018, Quorum piloted its first Ford dealership in the USA, the result being that Quorum can now market XSᴇʟʟᴇʀᴀᴛᴏʀ in the USA, increasing its TAM in the USA by 35%. Quorum has plans to continue to integrate with additional OEMs into 2018 and beyond.

  • Average Recurring Revenue per Rooftop (ARRPR)

    Quorum now collects all of its recurring SaaS based revenues in its Support Revenue stream, and in 2017 it added its recurring Communicator software revenues, previously included in Add-on Revenue, to this stream. Once a dealership has installed XSᴇʟʟᴇʀᴀᴛᴏʀ, recurring Support Revenues are earned from the SaaS (software as a service) nature of the XSᴇʟʟᴇʀᴀᴛᴏʀ software solution. Quorum’s trailing twelve month (TTM) ARRPR has grown by 15% over the past two years.

  • Dealer Utilization

    Unique to Quorum’s solution is that XSᴇʟʟᴇʀᴀᴛᴏʀ is more than just a DMS. The tools and processes within allow dealers to not only enhance the sales process, but also provide dealerships with a platform for increasing the service and parts revenues that they bring in from their own customers. The more a dealer utilizes all of the processes and tools within XSᴇʟʟᴇʀᴀᴛᴏʀ, the more complete a solution it becomes for that dealer.

  • Dealer Satisfaction

    Dealership satisfaction is a key driver for to continued strong growth. Quorum reports on the consistently high dealership satisfaction ratings it achieves in its quarterly financial reports.

  • Investor Alignment

    At the end of Q3 2018 Quorum had a weighted average of 52,731,769 common shares issued and outstanding and of these, approximately 37% were owned or controlled by Quorum’s Board of Directors, and in a show of support for Quorum’s DMS solution, XSᴇʟʟᴇʀᴀᴛᴏʀ, approximately 14% were owned by Quorum’s customers.

Throughout his career, Maury Marks has established himself as a visionary in the automotive retail technology industry. As one of the original founders, and as the President and CEO of Quorum Information Technologies, Maury has created a team that is committed to building and providing the best dealership management system in the industry.

Growing up in Alberta, Canada, Maury worked in his family’s GM dealership. During this time, he was exposed to the facets of dealership management and the challenges dealers face from both a business and technology standpoint. In 1996, Maury’s family approached him in need of a new DMS. After evaluating and realizing that the DMS industry was largely stagnated, Maury and his partners conceived the idea of Quorum. He focused the company on the development of its flagship XSellerator™ DMS software.

Maury earned a Bachelor of Management (with Distinction) from the University of Lethbridge in Alberta, Canada in 1988. He then received his Chartered Accountant’s designation couple of years later after articling with Deloitte and Touche in Calgary. Maury started in the accounting group and eventually moved to the firm’s technology practice where he had the experience of helping various corporations select and implement technology and systems that best fit their business needs. In 1992, Maury made the decision to leave Deloitte and Touche to begin his own practice of technology consulting.

While Maury is not on business trips, he can be found in Quorum’s headquarters in Calgary, Alberta.

Having a natural flair in numbers, Marilyn Bown keeps our books in the black.

In 2008, she was recruited from Belanger Clarke Follett McGettigan to fill the Corporate Accountant position. Marilyn progressively increased her responsibilities and contribution to Quorum, which earned her a promotion as Controller.

Marilyn is now Quorum’s Chief Financial Office and leads the Corporate department at Quorum. She overlooks all aspects of accounting, financial reporting, procurement and government relations.

Five years prior to joining Quorum, Marilyn received her Bachelor of Commerce (Co-operative) degree from Memorial University of Newfoundland and Labrador in Canada. She then received her Certified General Accountant Designation in 2008.

Marilyn works out of Quorum’s largest office in St. John’s, Newfoundland.

Owing to his deep business, technical and automotive industry experience, Mark earned himself the reputation as a visionary leader in the automotive retail technologies space.

Mark’s very first priority when he joined Quorum in 2006 was to lead the launch of the General Motors Integration Dealer Management System (IDMS) program. This helped build a good rapport between GM and the company, transforming Quorum’s core business model to deliver services required under the contract. After the success he had with GM, Mark moved on to lead a new department chartered with marketing, strategic planning and enterprise account management.

His present position of Vice President – Sales, Marketing and Services, and Director, Quorum Information Technologies (US), Inc. is the culmination of progressively added leadership responsibility in the years since joining Quorum. Mark leads all sales (client acquisition and organic growth), marketing and strategic partnerships, in addition to the Services Delivery team (implementations and training), for the company.

Mark holds a BSBA degree, with an emphasis in information technology and finance, and an MBA in Marketing – both attained with high honors from prestigious universities. He has extensive leadership background with multi-national organizations like General Motors and Electronic Data Systems (EDS). In his senior management roles with EDS Automotive Retail Group (ARG), he was responsible for overall management and performance of ARG’s product and service portfolio, as well as strategic planning, technology leadership and business development.

Mark’s entrepreneurial expertise has found him as Founder, President and CEO of Playing Field Inc., an innovative start-up that established a new market model for application integration within automotive retail, as well as previous endeavors such as ownership of an independent coffee shop and a small business custom application development boutique.

Mark is based in Quorum’s Washington Township, Michigan office.

Having a natural inclination towards processes and development, coupled with his expertise in the automotive retail industry, Dan Ichelson heads up Quorum’s Operations and Development team.

Dan first joined Quorum in 1998 as Product Specialist where his main duties revolved around supporting and implementing XSellerator™ at various GM dealerships. As a liaison between the dealers and Quorum’s Development team, Dan was able to participate in the process of planning and defining changes to product and new feature releases.

Among his multiple responsibilities, Dan also had the honour of testing exciting upgrades and new product functionalities. Due to his extensive knowledge of the DMS, Dan was promoted to Implementation Manager just three years after he joined the company. It was in this role where he dived into the vital undertaking of ensuring that Quorum’s product is geographically compatible to the company’s expansion efforts. Another three years saw Dan as the Director of Product Development. He was then heavily involved in the development process while working closely with GM in North America.

As the VP of Operations and Development for the past two decades, Dan leads all aspects of the XSellerator product, which includes product management, application development, network R&D, support and QA. He continues to guide the development and release of Quorum’s Dealership products.

Dan has a Bachelor of Science in Zoology and received his Master of Business Administration from the University of Calgary in 1992.

Prior to joining Quorum, he was directly involved with the development and implementation of an in-house system for a nationally franchised organization.

Dan is based in Calgary, where Quorum’s headquarters is located.

With more than a decade of real-life sales floor experience and the vision to build world-class products, Rick brings a fresh take on how software is solving some of the automotive retail industry’s most pressing challenges.

In 2006, Rick joined Quorum as an Implementation Specialist, a role that saw him travel to more than 100 dealerships across North America. Three years later he moved into the position of Business Analyst which was where he found his passion for designing industry changing products.

In 2010, Rick founded Autovance Technologies: he managed Autovance in combination with his career at Quorum until September of 2013, when he decided to pursue his vision to build the next generation of desking tools full-time. Rick began building the team at Autovance in late 2014 and it has been growing ever since. By the summer of 2016, Autovance Desk, Canada’s most advanced web-based desking tool, was built and it is already helping hundreds of dealerships sell more cars across Canada.

The relationship between Quorum and Autovance was built on a strong foundation and in 2017 it took the most logical next step as Quorum acquired Autovance. As a result, Rick rejoined Quorum as the Vice President of Autovance.

Rick works out of the Autovance headquarters in Lethbridge, Alberta.

Darren is one of Quorum’s veterans who joined the company shortly after it was founded. He has filled many shoes in his time with the company, including Network Specialist and Network Services Manager. In March 2008, Darren and his family relocated to the most easterly city in North America, St. John’s, Newfoundland to be in direct contact with the Network Services team. He has since then, moved back to his home in Edmonton, AB, where he leads our research and development team, which defines the technology platform that Quorum uses for its customers and internally.

Mick Podovilnikoff obtained a Masters of Business Administration from Queens University in 1998. He has also successfully completed various degree courses in Management, Engineering, Business and Human resources from various universities and learning institutes. He has served on the board of directors for TR Labs, on the Conference Board of Canada Human Resource Committee, and was a member of multiple national and international committees and forums within the telecommunications discipline. He worked in the high tech industry for more than 35 years in various executive positions. Mick Podovilnikoff currently consults on various business-related matters.

He has been involved at the most senior level on many projects with General Motors and is a past Chairman of the Canadian Automobile Dealers’ Association (CADA).

Scot Eisenfelder has focused on helping automotive companies and dealer groups improve performance for almost two decades.

In 1988, Maury earned a Bachelor of Management (with Distinction) from the University of Lethbridge in Alberta, Canada. In 1991, he received his Chartered Accountant’s designation after articling with Deloitte and Touche in Calgary. At Deloitte and Touche, Maury first worked in the accounting practice, Later, he moved to the firm’s technology consulting practice where he worked with many different companies to select and implement technology and systems to support their business needs.

He left Deloitte and Touche in 1992 and began his own practice of technology consulting for small businesses. It was during this time that his family turned to him to find a new dealer management system for their dealership. Having thoroughly evaluated the market and its offerings, Maury concluded that the industry had largely stagnated and the idea for forming Quorum was conceived.

Maury and his partners founded Quorum in 1996. Since that time, Maury has focused the company on the development of its flagship XSELLERATOR™ DMS software.

Craig Nieboer, CA CPA has over twenty- five years of experience in senior financial positions with internationally recognized service and exploration and production companies including Amerada Hess, BrazAlta Resources Corp., and CES Energy Solutions. He also held the position of CFO with Quorum Information Technologies Inc. from 2003 through 2006 where he played a major role in securing the GM IDMS contract.
